Orbitals — NFT IP Rights & License

Parties: SpaceHarpoon, Inc. (“SpaceHarpoon”, “we”, “us”) and each current holder of an NFT from the Orbitals Pilot Cards collection (“you” or “Owner”).

Effective date: The date you first acquire the applicable NFT on‑chain.

1. Key definitions

  1. “Art” means the digital artwork, traits, and visual design associated with an Orbitals NFT.
  2. “NFT” means a blockchain‑recorded non‑fungible token (e.g., ERC‑721/1155).
  3. “Owner” means the current, on‑chain owner of the NFT, as recorded on the relevant blockchain. If you transfer or burn the NFT, you cease to be the Owner and all license rights below end automatically.
  4. “Orbitals Marks” means SpaceHarpoon, Orbitals, and related names/logos, which are not licensed here (see §7).

2. What you own vs. what we own

You own the NFT itself (the token). SpaceHarpoon (or its licensors) owns all IP in the Art and the brand. You receive the licenses below; you do not receive the copyright in the Art or rights in the Orbitals Marks.

3. Your licenses

A. Personal use (always allowed). While you remain the Owner, you have a worldwide, non‑exclusive license to display the Art for personal, non‑commercial use (e.g., PFPs, screensavers, socials) so long as you keep copyright notices intact.

B. Limited commercial use. While you remain the Owner, you may use the Art commercially (e.g., merchandise, content, media) up to [USD $500,000] in gross revenue in any rolling 12‑month period across you and your controlled entities. Sublicensing to third parties is permitted only for uses tied to your project and within the same cap. If you reasonably expect to exceed the cap, email support@spaceharpoon.com to request an expanded license.

C. Standards of use. Any use must not: (i) depict hatred, violence, or unlawful content; (ii) violate others’ rights; (iii) suggest SpaceHarpoon’s endorsement; or (iv) combine the Art with other Orbitals you don’t own without that owner’s consent.

D. Derivatives. You may create derivatives of the Art only to the extent needed for the permitted personal or limited commercial uses above; derivatives remain subject to this License and terminate with transfer of the NFT. You may not claim or register IP rights in the Art or your derivatives.

4. Transfer, resale, and termination

  1. The license automatically follows a lawful transfer of the NFT to the new on‑chain owner and automatically terminates for you upon transfer/burn.
  2. You should use marketplaces that verify ownership and support creator royalties where possible. Note that some major marketplaces have stopped enforcing creator royalties for new collections, so royalty payments may not be guaranteed by all platforms.

5. Royalties

If smart‑contract royalties are set for the collection, you consent to their collection on supporting marketplaces and acknowledge that enforcement varies by platform. We may publish a list of preferred marketplaces that (a) verify seller ownership and (b) send configured royalties programmatically.

6. Moral rights; attribution; integrity

You agree to respect the artist’s moral rights, including attribution and integrity, and not to use or modify the Art in a way that harms the artist’s or brand’s reputation.

7. Trademarks & brand use

This License does not grant rights in the Orbitals Marks or SpaceHarpoon’s names/logos. You may factually reference “Orbitals NFT” to describe your item (e.g., a product listing), but you must not imply sponsorship or create confusingly similar branding. You may not seek or register trademarks for the Art, your derivatives, “Orbitals,” or “SpaceHarpoon.”

8. Community features & promotion

We may (but don’t have to) highlight community projects that comply with this License and brand guidelines. If you want visibility or plan to approach/exceed the revenue cap, email support@spaceharpoon.com..

9. Warranties, indemnity, and compliance

You represent that any commercial activity you conduct is compliant with applicable law (entity formation, tax, consumer protection, insurance, etc.) and you agree to indemnify SpaceHarpoon for losses arising from your use/sublicensing in breach of this License.

10. Enforcement; DMCA

Report alleged infringement or misuse to copyright@spaceharpoon.com.. We may use takedown/notice processes under the DMCA and similar regimes. (Sample DMCA mechanics appear in your reference terms.)

11. Updates; governing law; venue

We may update this License with prospective effect by posting a new version here. This License is governed by Delaware law (without conflicts rules). Disputes are resolved as in §18 of the Terms & Conditions.
